Terms of Service

No Medical Advice Notice: Carepak is a software operations tool. All clinical test results and summaries must be checked and signed off by certified physicians or pathologists prior to distribution.

1. Acceptance & Scope of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between Carepak and the organization or professional utilizing our service (the "Customer" or "you"). By creating an account, launching a test sandbox, or connecting lab analyzer machinery to Carepak, you agree to comply with and be bound by these Terms.

If you are registering an account on behalf of a clinical laboratory network, clinic practice, or hospital group, you represent that you have the authority to bind that entity to these Terms.

2. Medical & Clinical Service Disclaimer

Carepak does not provide clinical diagnoses, medical judgments, treatment recommendations, or active clinical advice.

The Carepak platform is strictly an operational software workspace designed to import laboratory test measurements, format reports, compile billing split ledgers, and manage notification schedules. Carepak is not a substitute for professional medical decisions.

The Customer agrees that:

  • A certified clinical pathologist or authorized healthcare physician must review, verify, and digitally sign off on all diagnostic reports before they are dispatched to patients.
  • The Customer assumes sole liability and responsibility for verifying the accuracy of test measurements imported from lab analyzer machines.

3. Account Registration, Access & Security

To secure Protected Health Information (PHI) and clinical records, the Customer must enforce strong account security, including:

  • Enforcing individual user accounts with strong, unique passwords for all staff members. Group account sharing is strictly prohibited.
  • Enabling Multi-Factor Authentication (MFA) for all administrative and medical roles.
  • Configuring session timeout thresholds to prevent unauthorized access to clinical terminals inside facility lobbies.

You must immediately notify Carepak of any suspected unauthorized access to your workspace credentials or patient records database.

4. Subscriptions, Fees & Overages

Service Subscriptions: Carepak is provided on a recurring subscription basis (Starter, Growth, or Enterprise plans) billed monthly or annually as selected during account provisioning.

Overage Rates: Subscription plans have set monthly test limits. If the Customer processes more tests than their plan allowance:

  • Starter and Growth plans will be billed a flat overage fee of $0.15 per additional test processed.
  • Overage fees are tallied and billed automatically in the subsequent billing cycle.

Split-Billing settlements: Payout distributions calculated by Carepak to connected referral doctors are triggered according to Customer configurations. Carepak is not responsible for settling payouts if clinic balances are insufficient.

5. System Availability & Service Level Agreement (SLA)

Carepak aims to maintain 99.9% platform availability.

Service Support: Depending on your plan, Carepak provides standard email support (Starter), priority 4-hour SLA response (Growth), or dedicated 24/7 account management (Enterprise).

Maintenance: Scheduled server upgrades and database optimization updates are performed during off-peak hours (between 01:00 and 04:00 UTC) with a minimum of 24 hours advance warning notices provided on the administrator dashboard.

6. Limitation of Liability

In no event will Carepak, its directors, or affiliates be liable for any indirect, incidental, special, or punitive damages, including loss of profits, clinic downtime, or patient diagnostic liabilities.

The aggregate liability of Carepak for all claims relating to the platform under these Terms will not exceed the total subscription fees paid by the Customer to Carepak during the six (6) months prior to the occurrence of the claim.
